1. Introduction

These Terms and Conditions ("Terms") govern your use of our websites — the Build Up Labs main site (builduplabs.com), the Build Up Labs Incubator site (incubator.builduplabs.com), and the Startup Tools site (startuptools.builduplabs.com) (collectively, the "Websites") — as well as all services and programs provided by Build Up Labs, whether through these Websites or in person.

Build Up Labs ("we", "us", or "our") refers to Associação Studios PT – ASPT, a private non-profit association registered in Portugal, operating as a startup studio and incubator with offices at HOOD, Edifício Altejo, Rua 3 da Matinha, 101, 1950-326 Lisboa, Portugal.

Acceptance: By accessing or using our Websites, registering for any service, or by submitting information through any of our websites, you ("User" or "you") acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Websites or services.

Scope: These Terms apply to all users of our Websites and participants in our services, including visitors, entrepreneurs, startup teams, mentors, or any other parties who interact with Build Up Labs. Additional terms may apply to specific programs or events.

Eligibility: Our services are intended for individuals who are 18 years of age or older. By using our services, you represent that you have the legal capacity to enter into this agreement.

2. Description of Services

Build Up Labs is a startup studio and incubator offering a range of services to help founders and startups build and grow their businesses:

• Digital Product Development (Venture Building): Building digital products and bringing them to market as a startup studio.
• Startup Incubation Program: A structured incubator (on-site in Lisbon and remotely) providing roadmaps, mentorship, advisory sessions, and progress tracking. Build Up Labs is a certified incubator for Portugal's Startup Visa program.
• Startup Tools: Free interactive web tools for founders, including an equity split calculator, fundraising simulator, SaaS unit economics simulator, idea validation framework, and AI marketing assistant, available at startuptools.builduplabs.com.
• Mentorship and Advisory Services: Connecting founders with advisors and mentors for guidance in product development, marketing, fundraising, and more.
• Networking and Community Events: Events, meetups, workshops, and webinars for connecting with peers, investors, corporate partners, and industry experts.
• Co-working Space and Facilities: Desk space at our partner HOOD co-working facility in Lisbon.
• Perks and Third-Party Partnerships: Access to discounts and third-party services for our community.

3. User Registration and Accounts

Certain features may require you to provide information or create an account. You agree to provide truthful, current, and complete information, keep it up-to-date, and safeguard your login credentials. You are responsible for all activities under your account. Build Up Labs reserves the right to refuse registration or suspend/terminate accounts for violations of these Terms.

4. User Obligations and Acceptable Use

By using our services, you agree to:

• Comply with all applicable laws and these Terms.
• Use services only for their intended purposes.
• Not engage in harmful or illegal activity, including uploading malicious code, hacking, or security violations.
• Treat all Build Up Labs staff, mentors, partners, and fellow participants with respect. Harassment, discrimination, or abuse of any kind will not be tolerated.
• Not share content that infringes intellectual property rights or violates privacy.
• Act with honesty and integrity in all dealings.

Failure to adhere may result in content removal, suspension, termination, or legal action.

5. Fees and Payments

Some services may involve fees. Applicable fees, pricing, and payment schedules will be communicated before enrollment. All fees are in Euro (EUR) unless otherwise indicated. Payments may be processed via third-party payment processors. Refund policies vary by service and will be communicated in specific agreements. We comply with applicable consumer protection laws regarding refunds.

6. Data Collection and Privacy

We collect and process personal data as described in our Privacy Policy. We do not sell your personal data. Our websites use cookies as described in our Cookie Policy. By using our services, you acknowledge our data practices as described in these policies.

7. Intellectual Property Rights

Unless otherwise indicated, Build Up Labs and/or its licensors own all rights in the content on our Websites and program materials. You may access and use content for personal or internal business use related to our services only. You must not reproduce, distribute, modify, or create derivative works without prior written consent.

Build Up Labs does not claim ownership of your startup's intellectual property. Any code, product, or brand you develop remains yours. You grant Build Up Labs a limited license to use your startup's name, logo, and public description for promotional purposes.

8. Third-Party Services and Links

Our Websites may contain links to third-party websites or integrate with external platforms. Build Up Labs does not control and is not responsible for third-party content, privacy policies, or practices. Your use of third-party services is at your own risk and subject to their terms.

9. Disclaimers and Limitation of Liability

No Guaranteed Outcomes: Build Up Labs provides mentorship, resources, and opportunities but does not guarantee any particular outcome or success.

Services "As Is": To the maximum extent permitted by law, services are provided on an "as is" and "as available" basis, without warranties of any kind.

Limitation of Liability: Build Up Labs will not be liable for any indirect, incidental, special, consequential, or punitive damages. Total cumulative liability is limited to the amount paid by you for the service in question in the 6 months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any statutory rights that cannot be waived.

10. Changes to Services and Terms

We may add, remove, or change features of our services at any time. We may also revise these Terms, updating the "Last Updated" date. Significant changes will be communicated via email or website notice. Your continued use after changes constitutes acceptance.

11. Termination and Suspension

You may stop using our services at any time. Build Up Labs reserves the right to suspend or terminate access for breach of Terms, fraud, misconduct, inactivity, legal requirements, or non-payment. Upon termination, licenses and access rights end. Certain provisions survive termination, including intellectual property, liability, and governing law sections.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of Portugal and applicable EU laws. Disputes shall be submitted to the exclusive jurisdiction of the courts in Lisbon, Portugal. If you are a consumer in the EU, this does not override your rights under your home country's mandatory consumer laws.

Severability: If any provision is held invalid, the remaining provisions remain in effect. No Waiver: Failure to enforce a provision does not waive the right to enforce it later. Entire Agreement: These Terms, together with our Privacy and Cookie Policies, constitute the entire agreement.
